Nominating Committee

A Nominating Committee shall make nominations to the Board of Directors. The Nominating Committee shall consist of a Chairman, who shall be a member of the Board of Directors who is not then seeking reelection, and two (2) or more Members of the Association. The Nominating Committee members shall be appointed by the Board of Directors not less than sixty (60) days prior to each annual meeting of the Voting Members to serve a term of one (1) year or until their successors are appointed, and such appointment shall be announced at each annual meeting. Members of the Nominating Committee shall serve at the discretion of the Board and may be removed with or without cause by the Board of Directors. The Nominating Committee shall make as many nominations for election to the Board of Directors as it shall in its discretion determine, but in no event less than the number of positions to be filled. All candidates shall have a reasonable opportunity to communicate their qualifications to the Voting Members and to solicit votes. The Nominating Committee shall have the authority to promulgate rules and procedures for the election of directors at the annual meeting of the Voting Members called for such purpose, which rules and procedures shall be subject to approval by the Voting Members, with each Voting Member casting one (1) vote.
